Who was Ed Olkkola?

Ed Olkkola was Born on December 13, 1959, in Georgetown, Texas.

Mr. Olkkola was Hyliion’s first board member, serving on the board since 2016, and was Chief Operating Officer from January 2018 to October 2018. Mr. Olkkola passed away after a valiant battle with Acute Myeloid Leukemia (AML).

Ed’s Career Journey

Mr. Olkkola has served on more than sixty boards throughout his career. He launched more than a dozen new products. He had patents in key areas of networking and communications, such as speech recognition, real-time signal processing for home networking, and high-speed digital network switching.

Mr. Olkkola, who has had a distinguished career in investments and technology, most recently held the position of Managing Director at Teakwood Capital, where he oversaw private equity investment funds with a concentration on micro-cap portfolio businesses.

Before this, Mr. Olkkola served as a General Partner at Austin Ventures and held executive positions at Motorola and Compaq. He co-founded the venture fund at Compaq and helped raise more than $2 billion in venture and private equity funds with partners from Teakwood Capital and Austin Ventures.

BOARD OF DIRECTORS

Olkkola and Knight were appointed to serve as Class III directors.

The Board of Directors shall be divided into three classes, as nearly equal in number as feasible, and named Class I, Class II, and Class III, subject to the rights of holders of any series of Preferred Stock to elect additional directors under certain conditions. Members of the Board of Directors who are currently in office may be assigned to Class I, Class II, or Class III by the Board of Directors.

The initial Class I Directors’ term will end at the first annual meeting of the Company’s stockholders following the effectiveness of this Amended and Restated Certificate; the initial Class II Directors’ term will end at the second annual meeting of the Company following the effectiveness of this Second Amended and Restated Certificate, and the initial Class III Directors’ term will end at the third annual meeting of the Company’s stockholders following the effectiveness of this Third Amended and Restated Certificate. at each subsequent annual meeting of the Company’s investors.
